본 약관은 주식회사 인텔리시아(이하 "회사")가 제공하는 인텔리시아 합성소비자 AI 서비스(이하 "서비스")의 이용과 관련하여 회사와 이용자(이하 "고객") 간의 권리, 의무 및 책임 사항, 기타 필요한 사항을 규정함을 목적으로 합니다.
제2조 (정의)
본 약관에서 사용하는 용어의 정의는 다음과 같습니다.
"합성소비자(Synthetic Consumer)"란 실제 소비자 데이터를 기반으로 LLM(대규모 언어모델) 기술을 활용하여 생성한 가상의 소비자 페르소나를 의미합니다.
"서비스"란 회사가 제공하는 합성소비자 기반 서베이, 인뎁스 인터뷰(IDI), 시장 조사 및 관련 AI 리서치 솔루션 일체를 의미합니다.
"구독 서비스"란 고객이 월간 또는 연간 단위로 이용료를 지불하고 플랫폼에 접근하여 서비스를 이용하는 형태를 의미합니다.
"프로젝트 서비스"란 고객의 개별 리서치 요구에 따라 프로젝트 단위로 계약하여 제공하는 서비스를 의미합니다.
"고객"이란 본 약관에 동의하고 회사와 서비스 이용 계약을 체결한 법인 또는 개인사업자를 의미합니다.
"결과물"이란 서비스를 통해 생성된 서베이 응답 데이터, 분석 리포트 및 인사이트 등 일체의 산출물을 의미합니다.
제3조 (약관의 효력 및 변경)
본 약관은 고객이 서비스 이용 계약을 체결하거나, 회사의 웹사이트 또는 플랫폼에서 본 약관에 동의한 시점부터 효력이 발생합니다.
회사는 관련 법령에 위배되지 않는 범위 내에서 본 약관을 변경할 수 있으며, 변경 시 적용 일자 및 변경 사유를 명시하여 시행일 7일 전(고객에게 불리한 변경의 경우 30일 전)에 공지합니다.
고객이 변경된 약관에 동의하지 않는 경우, 서비스 이용 계약을 해지할 수 있습니다. 변경 약관의 시행일 이후에도 서비스를 계속 이용하는 경우 변경 약관에 동의한 것으로 간주합니다.
제4조 (서비스의 내용)
회사가 제공하는 서비스의 주요 내용은 다음과 같습니다.
합성소비자 서베이: 합성소비자 패널을 활용한 정량 조사 서비스
합성소비자 IDI(In-Depth Interview): 합성소비자와의 심층 인터뷰 서비스
AI 리서치 리포트: 조사 결과에 대한 자동화된 분석 리포트 생성
글로벌 조사: 한국, 미국, 영국, 일본 등 12개국 합성소비자 패널 기반 다국가 조사
PoC(Proof of Concept): 실제 소비자 조사 결과와의 재현성 비교 검증 프로젝트
제5조 (이용 계약의 성립)
서비스 이용 계약은 고객이 본 약관에 동의하고, 회사가 정한 절차에 따라 이용 신청을 완료하며, 회사가 이를 승낙함으로써 성립됩니다.
구독 서비스의 경우, 고객이 구독 플랜을 선택하고 이용료를 결제한 시점에 계약이 성립됩니다.
프로젝트 서비스의 경우, 별도의 프로젝트 계약서 또는 제안서에 대한 양 당사자의 서면(전자적 방식 포함) 합의로 계약이 성립됩니다.
제6조 (서비스 이용료 및 결제)
서비스 이용료는 회사가 정하는 요금 체계에 따르며, 회사 웹사이트 또는 별도 견적서를 통해 고객에게 안내됩니다.
구독 서비스의 이용료는 선불로 결제하며, 월간 또는 연간 단위로 자동 갱신됩니다.
프로젝트 서비스의 이용료는 프로젝트 계약서에서 정한 바에 따릅니다.
회사는 경영 환경 변화, 서비스 내용 변경 등의 사유로 이용료를 변경할 수 있으며, 변경 시 30일 전에 고객에게 통지합니다.
제7조 (고객의 의무)
고객은 다음 각 호의 행위를 하여서는 안 됩니다.
서비스를 이용하여 얻은 결과물을 허위 또는 과장된 방식으로 공표하는 행위
합성소비자 응답 결과를 실제 소비자 응답으로 허위 표시하는 행위
서비스의 기술적 보안 장치를 무력화하거나 우회하는 행위
회사의 지식재산권을 침해하는 행위
서비스를 통해 수집한 데이터를 회사의 사전 동의 없이 제3자에게 제공하거나 판매하는 행위
기타 관련 법령 또는 본 약관에 위배되는 행위
제8조 (회사의 의무)
회사는 관련 법령과 본 약관이 정하는 바에 따라 안정적이고 지속적인 서비스를 제공하기 위하여 최선을 다합니다.
회사는 고객의 개인정보 및 기밀 정보를 보호하며, 관련 법령에서 정한 경우를 제외하고는 제3자에게 제공하지 않습니다.
회사는 서비스 장애 발생 시 신속히 복구하고 고객에게 관련 사항을 안내합니다.
제9조 (결과물의 소유권 및 이용)
서비스를 통해 생성된 결과물의 소유권은 이용료를 완납한 고객에게 귀속됩니다.
회사는 고객의 개별 결과물을 비식별화하여 서비스 품질 향상 및 합성소비자 모델 개선 목적으로 활용할 수 있습니다.
고객은 결과물을 활용함에 있어 합성소비자 기반 조사임을 명시하여야 합니다.
제10조 (서비스의 제한 및 중단)
회사는 다음 각 호에 해당하는 경우 서비스의 전부 또는 일부를 제한하거나 중단할 수 있습니다.
시스템 정기점검, 증설, 교체 등 기술적 필요가 있는 경우
천재지변, 국가비상사태 등 불가항력적 사유가 있는 경우
고객이 본 약관을 위반한 경우
회사는 서비스 중단 시 사전에 고객에게 통지합니다. 다만, 긴급하거나 불가피한 사유가 있는 경우 사후에 통지할 수 있습니다.
제11조 (계약 해지)
고객은 언제든지 회사에 서비스 이용 계약 해지를 요청할 수 있습니다.
구독 서비스의 해지는 해지 요청일이 속한 결제 주기 말일에 효력이 발생합니다.
회사는 고객이 본 약관을 위반한 경우, 시정을 요구하고 7일 이내에 시정되지 않으면 계약을 해지할 수 있습니다.
제12조 (면책 조항)
합성소비자의 응답은 AI 기술을 기반으로 생성된 것으로, 실제 소비자의 의견과 차이가 있을 수 있습니다. 회사는 결과물의 정확성, 완전성, 특정 목적에의 적합성을 보증하지 않습니다.
고객이 결과물을 활용하여 내린 사업적 판단에 대해 회사는 책임을 지지 않습니다.
회사의 고의 또는 중과실로 인한 손해를 제외하고, 회사의 손해배상 책임은 해당 서비스에 대해 고객이 지불한 이용료 총액을 초과하지 않습니다.
제13조 (비밀유지)
양 당사자는 서비스 이용 과정에서 알게 된 상대방의 기밀 정보를 비밀로 유지하며, 상대방의 사전 서면 동의 없이 제3자에게 공개하거나 본래 목적 외로 사용하지 않습니다.
본 조의 비밀유지 의무는 계약 종료 후 3년간 존속합니다.
제14조 (지식재산권)
서비스 및 서비스를 구성하는 합성소비자 모델, 알고리즘, 소프트웨어, 기술 등에 대한 지식재산권은 회사에 귀속됩니다.
고객에게는 서비스 이용 계약 기간 동안 서비스를 이용할 수 있는 비독점적, 양도 불가능한 라이선스가 부여됩니다.
제15조 (손해배상)
어느 일방 당사자가 본 약관을 위반하여 상대방에게 손해를 끼친 경우, 위반 당사자는 상대방에게 발생한 직접적이고 통상적인 손해를 배상할 책임이 있습니다. 다만, 간접적, 특수적, 징벌적 또는 결과적 손해에 대해서는 배상 책임이 없습니다.
제16조 (분쟁 해결)
본 약관에 관한 분쟁은 대한민국 법률을 준거법으로 합니다.
서비스 이용과 관련하여 분쟁이 발생한 경우, 양 당사자는 성실히 협의하여 해결합니다.
협의로 해결되지 않는 경우, 서울중앙지방법원을 제1심 관할 법원으로 합니다.
부칙
본 약관은 2026년 4월 23일부터 시행합니다.
Article 1 (Purpose)
These Terms govern the rights, obligations, responsibilities, and other necessary matters between Intellicia Inc. (hereinafter "Company") and users (hereinafter "Client") regarding the use of the Intellicia Synthetic Consumer AI Service (hereinafter "Service").
Article 2 (Definitions)
The definitions of terms used in these Terms are as follows:
"Synthetic Consumer" refers to a virtual consumer persona generated using LLM (Large Language Model) technology based on real consumer data.
"Service" refers to all synthetic consumer-based survey, in-depth interview (IDI), market research, and related AI research solutions provided by the Company.
"Subscription Service" refers to a service model where the Client pays monthly or annual fees to access and use the platform.
"Project Service" refers to a service provided on a per-project basis according to the Client's individual research needs.
"Client" refers to a corporation or individual business operator that agrees to these Terms and enters into a service agreement with the Company.
"Deliverables" refers to all outputs generated through the Service, including survey response data, analysis reports, and insights.
Article 3 (Effectiveness and Modification of Terms)
These Terms take effect when the Client enters into a service agreement or agrees to these Terms on the Company's website or platform.
The Company may modify these Terms within the scope permitted by applicable laws, and shall notify changes at least 7 days (30 days for changes unfavorable to Clients) before the effective date, specifying the effective date and reasons for the change.
If the Client does not agree to the modified Terms, they may terminate the service agreement. Continued use of the Service after the effective date of the modified Terms shall be deemed as consent to the changes.
Article 4 (Service Description)
The main services provided by the Company are as follows:
Synthetic Consumer Survey: Quantitative research service utilizing synthetic consumer panels
Synthetic Consumer IDI (In-Depth Interview): In-depth interview service with synthetic consumers
AI Research Report: Automated analysis report generation from research results
Global Research: Multi-country research based on synthetic consumer panels across 12 countries including Korea, US, UK, and Japan
PoC (Proof of Concept): Reproducibility verification projects comparing results with actual consumer research
Article 5 (Establishment of Service Agreement)
The service agreement is established when the Client agrees to these Terms, completes the application process prescribed by the Company, and the Company accepts the application.
For Subscription Services, the agreement is established when the Client selects a subscription plan and completes payment.
For Project Services, the agreement is established through written (including electronic) mutual consent to a separate project contract or proposal.
Article 6 (Service Fees and Payment)
Service fees are determined according to the Company's pricing structure and communicated to Clients through the Company's website or separate quotations.
Subscription Service fees are paid in advance and automatically renewed on a monthly or annual basis.
Project Service fees are as specified in the project contract.
The Company may change fees due to changes in business conditions or service content, and shall notify Clients at least 30 days in advance.
Article 7 (Client Obligations)
Clients shall not engage in any of the following activities:
Publishing results obtained through the Service in a false or exaggerated manner
Falsely representing synthetic consumer responses as actual consumer responses
Disabling or circumventing the technical security measures of the Service
Infringing on the Company's intellectual property rights
Providing or selling data collected through the Service to third parties without the Company's prior consent
Any other activities that violate applicable laws or these Terms
Article 8 (Company Obligations)
The Company shall make its best efforts to provide stable and continuous service in accordance with applicable laws and these Terms.
The Company shall protect Clients' personal information and confidential information, and shall not provide it to third parties except as required by applicable laws.
The Company shall promptly restore service in the event of service disruption and inform Clients of relevant matters.
Article 9 (Ownership and Use of Deliverables)
Ownership of deliverables generated through the Service belongs to the Client who has fully paid the service fees.
The Company may de-identify individual Client deliverables and use them for service quality improvement and synthetic consumer model enhancement purposes.
Clients must indicate that research was conducted using synthetic consumers when utilizing deliverables.
Article 10 (Service Limitation and Suspension)
The Company may limit or suspend all or part of the Service in the following cases:
When there is a technical need for regular system maintenance, expansion, or replacement
In cases of force majeure such as natural disasters or national emergencies
When the Client violates these Terms
The Company shall notify Clients in advance of service suspension. However, in urgent or unavoidable circumstances, notification may be given after the fact.
Article 11 (Termination of Agreement)
Clients may request termination of the service agreement at any time.
Termination of Subscription Services takes effect at the end of the billing cycle in which the termination request is made.
The Company may terminate the agreement if the Client violates these Terms and fails to remedy the violation within 7 days after being requested to do so.
Article 12 (Disclaimer)
Synthetic consumer responses are generated based on AI technology and may differ from actual consumer opinions. The Company does not guarantee the accuracy, completeness, or fitness for a particular purpose of the deliverables.
The Company shall not be liable for business decisions made by the Client based on the deliverables.
Except for damages caused by the Company's willful misconduct or gross negligence, the Company's liability for damages shall not exceed the total service fees paid by the Client for the relevant service.
Article 13 (Confidentiality)
Both parties shall maintain the confidentiality of the other party's confidential information obtained during the course of service use, and shall not disclose it to third parties or use it for purposes other than the original purpose without the other party's prior written consent.
The confidentiality obligations under this Article shall survive for 3 years after the termination of the agreement.
Article 14 (Intellectual Property Rights)
Intellectual property rights for the Service and its components, including synthetic consumer models, algorithms, software, and technology, belong to the Company.
Clients are granted a non-exclusive, non-transferable license to use the Service during the term of the service agreement.
Article 15 (Damages)
If either party causes damage to the other party by violating these Terms, the breaching party shall be liable for direct and ordinary damages incurred by the other party. However, there shall be no liability for indirect, special, punitive, or consequential damages.
Article 16 (Dispute Resolution)
Disputes regarding these Terms shall be governed by the laws of the Republic of Korea.
In the event of a dispute related to the use of the Service, both parties shall resolve it through good faith consultation.
If the dispute cannot be resolved through consultation, the Seoul Central District Court shall have exclusive jurisdiction as the court of first instance.
Supplementary Provisions
These Terms shall take effect from April 23, 2026.
